General Terms and Conditions Be More You, version 2025.12
1. General
These general terms of service apply to all offers, activities, quotations and agreements for (organisational) consultancy, coaching and training as well as other forms of professional services between Be More You and clients, or their legal successors, unless otherwise agreed in writing. By entering into an agreement, the client acknowledges that it is aware of and accepts these general terms and conditions. The client's own general terms and conditions do not apply, neither independently nor in combination with the present general terms and conditions.
2. Quotations
Quotations from Be More You are based on the information provided by the client. The client warrants that, to the best of its knowledge, it has provided all essential information for the design and execution of the assignment. Be More You will carry out the services it provides to the best of its insight and ability and in accordance with the requirements of good workmanship. Be More You's offers are valid for four weeks, unless stated otherwise in the offer. As long as the offer has not led to an assignment, Be More You reserves the right to deploy its capacity elsewhere. If Be More You exercises this right, the prospective client will be notified within two working days. The activities to be performed by Be More You are to be regarded as a "best-efforts obligation", unless otherwise agreed. After signing the quotation, the client has 7 working days to reconsider. After the 7 days, our cancellation conditions apply.
3. Acceptance of assignments
Be More You only accepts assignments for which it holds the qualifications. The Be More You staff to be deployed on an assignment must be able to work on that assignment effectively by virtue of their knowledge, experience and personal qualities. Both clients and Be More You may, in consultation, request staff other than those initially charged with carrying out the assignment, provided this is not at the expense of quality and continuity. In order for the assignment to be carried out well and as much as possible according to schedule, the client shall provide in good time all documents and data that Be More You needs.
4. Personnel
Be More You may, in consultation with the client, change the staffing of the assignment if it considers this necessary for carrying out the assignment. The change may not reduce the quality of the services to be provided, nor adversely affect the continuity of the assignment. A change in staffing may also take place at the client's request, in consultation with Be More You.
5. Rates and costs of the assignment
With regard to the rates and the cost estimates based on them, the quotation states whether they include material costs, travel costs, travel and accommodation costs and other assignment-related costs. Insofar as these costs are not included, they may be charged separately. VAT is charged on the services that Be More You provides. An interim change in the level of wages and costs that requires Be More You to adjust its rates or adjust other cost reimbursements mentioned above will be passed on.
6. Payment terms
a. The fee as well as the costs referred to in article 5, and insofar as these are not included in the rates, are charged in advance, unless otherwise agreed. Payment must be made within thirty days of the invoice date. If the client has not paid within thirty days of the invoice date, the client is deemed to be in default by operation of law, without any demand or notice of default being required, and statutory interest may be charged.
b. If payment is not made, Be More You may, invoking the defence of uncertainty, suspend the execution of the assignment or declare the agreement wholly or partly dissolved by registered letter, without prejudice to Be More You's right to full compensation for damages.
c. Be More You shall at all times be entitled, both prior to acceptance of an assignment and in the interim, to require security from the client for the payments agreed in the context of the assignment. In addition, at Be More You's first request, the client shall provide advance payment or guarantees if the assignment entails that Be More You enters into financial obligations towards third parties in its own name.
d. If the client is in default or otherwise fails to fulfil one or more of its obligations, then all reasonable costs of obtaining satisfaction, both judicial and extrajudicial, shall be for its account. If the assignment has been given by more than one client, all clients are jointly and severally liable for the fulfilment of the obligations set out in this article (regardless of the name in which the invoice is issued).
7. Changes to the assignment, or additional work
The parties may, in the interim, agree to expand or change the approach, working method or scope of the assignment and/or the resulting activities, on the understanding that changes may not result in a reduction of the originally agreed scope of the assignment. The client accepts that the scheduling may be affected by such changes or expansions.
8. Interim termination of the assignment
Be More You has the right to withdraw from an assignment if, due to circumstances beyond its control, proper execution of the assignment is hindered (force majeure). In this case, the client owes Be More You remuneration in proportion to the work performed to date.
9. Cancellation
Be More You does everything it can to deliver an unforgettable programme to every client. We realise that sometimes something may come up at the last minute. Our cancellation conditions are as follows:
- Up to six weeks before the first day of a programme, cancellation is free of charge.
- For cancellation from 6 to 3 weeks beforehand, 50% of the programme investment is due.
- For cancellation less than 3 weeks beforehand, 100% of the programme investment is due.
- Naturally, a client may have someone else participate at no extra cost.
10. Confidentiality
With regard to the use of information provided to it or that has come to its knowledge in the training relationship, Be More You will exercise the care that can reasonably be required.
In general, information of a confidential nature may only be used if the interest of carrying out the assignment requires it. When passing on such information, care will be taken to ensure that it cannot be traced back to the source, if this could have adverse consequences for the source. Data obtained in confidence from the client's employees will only be passed on to others if its use has been made known in good time to the information provider and the latter has indicated that it has no objection to it.
11. Intellectual property
Models, techniques and instruments, including software, that have been used to carry out the assignment and are incorporated in the training or programme, are and remain the property of Be More You. Disclosure may therefore only take place after prior written permission has been obtained from Be More You.
12. Liability
a. Be More You is not liable towards the client for damage caused to the client or its employees during the execution of the assignment by Be More You or by another party that has performed activities in that context at the request of or in cooperation with Be More You, unless there is intent or gross negligence.
b. If a third party suffers damage due to the acts or omissions of Be More You or an engaged third party, and either that third party holds Be More You liable for it, or that third party holds the client liable for it and the latter wishes to seek recourse against Be More You, it applies between the parties that such damage will ultimately be borne by the client, unless there is intent or gross negligence on the part of Be More You.
13. Complaints
a. Complaints can be sent in writing by email to info@bemoreyou.nl with the reference "Complaint Be More You - training".
b. If the complaint is justified and the customer has paid for the training, the amount collected or paid will be refunded to the customer's account within 10 working days.
c. If a complaint is accepted, the client must in any case grant Be More You a reasonable period, to be determined in consultation, in order to remedy the defect.
d. Complaints do not give the client the right to suspend payment of amounts owed to Be More You. Be More You's obligation to remedy any defect only arises once full payment has been made.
e. In the absence of a complaint within the aforementioned 7-day period, the client is deemed to have accepted the goods or services, as far as possible. In no case may the client assert any claim against Be More You after the client has put a delivered work or part thereof into use or has passed it on to third parties.
f. Be More You is not liable for defects in data or materials supplied by the client, nor for the consequences of those defects.
14. Applicable law and competent court
a. Dutch law applies to all agreements with Be More You.
b. All disputes relating to agreements to which these terms apply shall be settled by the competent court in the canton or district where Be More You has its place of business.
